Definitions<br \/>1.1 SolarWash B.V.: SolarWash B.V., established at Tarpanweg 14, Swifterbant under KvK no. 87446596<br \/>1.2 Customer: The party with whom SolarWash B.V. has entered into an agreement.<br \/>1.3 Parties: SolarWash B.V. and Customer jointly.<br \/>1.4 Consumer: A Customer who is also an individual and acts as a private person.<\/p><p><br \/>2. Applicability of General Terms and Conditions<br \/>2.1 These terms and conditions apply to all quotations, offers, work, orders,<br \/>agreements and deliveries of services or products by or on behalf of SolarWash B.V.<br \/>2.2 Deviation from these terms and conditions is possible only if the parties expressly agree in writing.<br \/>2.3 The applicability of additional and\/or different general terms and conditions of the Customer or of<br \/>third parties is expressly excluded.<\/p><p><br \/>3. Prices<br \/>3.1 All prices applied by SolarWash B.V. are in euros, including VAT and excluding any possible<br \/>other costs such as administration costs, levies, and travel, shipping or transport costs, unless otherwise<br \/>stated or agreed.<br \/>3.2 SolarWash B.V. reserves the right to change the prices of its products or services at any time.<br \/>change.<br \/>3.3 The prices charged are fixed prices unless otherwise agreed in consultation.<br \/>3.4 SolarWash B.V. has the right to adjust prices annually. These adjustments will be<br \/>communicated to the Customer prior to the appointment.<br \/>3.5 If the Consumer does not agree to the price increase, he has the right to terminate the agreement<br \/>terminate.<\/p><p><br \/>4. Provision of information by the Customer<br \/>5.1 The Customer must provide all information, data and records relevant to the correct execution<br \/>of the agreement in a timely manner and in the desired manner.<br \/>5.2 The Customer guarantees the accuracy, completeness and reliability of the information provided, including<br \/>if from third parties.<\/p><p><span style=\"text-align: var(--text-align); letter-spacing: 0px;\">5.3 If SolarWash B.V. so requests, it will return the relevant documents to the Customer.<\/span><\/p><p>5.4 If the Customer does not provide the requested information in time and the performance of the agreement<br \/>delayed as a result, the additional costs and hours shall be borne by the Customer.<\/p><p><br \/>6. Payments and Consequences of non-payment<br \/>6.1 If the Customer does not pay within the agreed period, SolarWash B.V. is entitled to charge an interest<br \/>of 2% per month from the day the Customer is in default, with any portion<br \/>of a month is counted as a full month.<br \/>6.2 In the event of default, the Customer shall also be liable for extrajudicial collection costs and any<br \/>compensation. Collection costs shall be calculated in accordance with the Decree on compensation for<br \/>extrajudicial collection costs.<br \/>6.3 SolarWash B.V. may suspend its obligations until the Customer meets its payment obligation.<br \/>fulfilled.<br \/>6.4 In the event of liquidation, bankruptcy, attachment or suspension of payments on the part of the Customer, the<br \/>claims of SolarWash B.V. immediately due and payable.<br \/>6.5 If the Customer refuses to cooperate with SolarWash B.V.'s performance of the agreement, then SolarWash B.V. is<br \/>he is still obliged to pay the agreed price.<\/p><p><br \/>7. Liability of SolarWash B.V.<br \/>8.1 SolarWash B.V. is only liable for damage that is the direct result of intent or deliberate<br \/>recklessness on her part.<br \/>8.2 SolarWash B.V.'s liability is limited to direct damage arising from or related to<br \/>relates to the performance of the agreement.<br \/>8.3 SolarWash B.V. is not liable for indirect damage such as consequential damage, lost profit,<br \/>missed savings, or damages to third parties.<br \/>8.4 If SolarWash B.V. is liable, this will be limited to the amount paid by a<br \/>liability insurance is paid out. Force majeure<br \/>9.1 SolarWash B.V. is not liable for any failure to comply with its obligations<br \/>if it results from a situation beyond its control, such as civil war, natural disasters,<br \/>strikes, government measures, or other unforeseen circumstances.<br \/>9.2 In the event of force majeure, SolarWash B.V.'s obligations will be suspended until it is again in<br \/>able to fulfil them.<br \/>9.3 If a force majeure situation lasts longer than 30 calendar days, both parties shall have the right to terminate the<br \/>dissolve all or part of the agreement in writing.<br \/>9.4 SolarWash B.V. does not owe any (damage) compensation in a force majeure situation, even if it is considered to be<br \/>as a result of the force majeure enjoys any advantage.<\/p><p><br \/>10. Dissolution and amendment of the Agreement<br \/>10.1 The Customer has the right to dissolve the agreement if SolarWash B.V. can be imputably<br \/>fails to fulfil its obligations, unless the failure is of minor importance.<br \/>10.2 If fulfilment by SolarWash B.V. is not permanently or temporarily impossible, dissolution can only be<br \/>take place after SolarWash B.V. is in default.<br \/>10.3 SolarWash B.V. has the right to dissolve the agreement if the Customer fails to meet its obligations<br \/>fully or on time, or if SolarWash B.V. has good reason to fear that the Customer will not comply with its obligations.<br \/>will not properly fulfil its obligations.<br \/>10.4 If modification of the agreement proves necessary after it has been concluded, both parties shall adjust the<br \/>agreement in good time and by mutual agreement.<\/p><p><br \/>11. Amendment of General Terms and Conditions<br \/>11.1 SolarWash B.V. is entitled to amend or supplement these general terms and conditions.<br \/>11.2 Minor changes can be made at any time. Major substantive changes<br \/>are discussed with the Customer in advance.<br \/>11.3 Consumers have the right to terminate the contract in the event of substantial changes.<\/p><p><br \/>12. Other Provisions<br \/>12.1 Customer's rights from an agreement between the parties cannot be assigned to third parties<br \/>transferred without SolarWash B.V.'s prior written consent.<br \/>12.2 If one or more provisions of these general terms and conditions are found to be void or voidable,<br \/>the other provisions remain in full force and effect.<br \/>12.3 All agreements between the parties shall be governed exclusively by Dutch law.
